"Virtual MTV's Virtual Dance Off 2" Contest
Sponsored by
MTV Networks, a division of Viacom International Inc.
1. NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.
2. Entry Period: The "Virtual MTV's Virtual Dance Off 2" contest (the "Contest") commences at 12:00:01 AM (ET) on June 26, 2008 and ends at 11:59:59 PM (ET) on July 24, 2008 (the "Contest Period"). All entries must be received by 11:59:59 PM (ET) on July 24, 2008.
3. Voting Period: The voting period commences at 12:00:01 AM (ET) on July 31, 2008 and ends at 11:59:59 PM (ET) on August 10, 2008 (the "Voting Period").
4. Contest Overview: The Contest is a skill contest wherein entrants form groups ("Group(s)") and with their Group create a virtual video (the "Video(s)") depicting choreographed dance routines performed by members of the Group's computer avatars in Virtual MTV, a virtual, online community ("vMTV"), owned and operated by MTV Networks, a division of Viacom International Inc. ("MTVN"), and submit it to www.mtv.com, a website owned and operated by MTVN (the "Website") for viewing by the public. MTVN will select the top twenty (20) Videos from among the Qualifying Entries (as hereinafter defined) based upon the judging criteria set forth in Section 8 to become the finalists (the "Finalists"). The Finalists' Videos will be posted on the Website, and the registered users of vMTV will be able to vote in vMTV for the Winners (as hereinafter defined) during the Voting Period. Each Group submitting a Video acknowledges that these Official Rules apply to all of the members of such Group.
5. Eligibility: The Contest is only open to legal residents of the 50 United States and the District of Columbia. VOID WHERE PROHIBITED. Entrants must be at least 14 years of age or older at time of entry. Entrants who are not yet at the age of majority in the jurisdiction in which they reside will be required to obtain parental or legal guardian consent to be eligible to be declared a Finalist or a Winner. Employees and their immediate families (i.e., parents, spouse, children, siblings, grandparents, step parents, step children and step siblings, and/or those living in the same household) of MTVN, its licensors and prize suppliers, and each of their respective parent companies, affiliates and subsidiaries, advertising agencies and third party fulfillment agencies (collectively, the "Contest Entities") are not eligible to enter Contest. By participating in this Contest, entrants and each member of his/her Group: (a) agree to be bound by these Official Rules and by the interpretations of these Official Rules by MTVN, and by the decisions of MTVN, which are final in all matters relating to the Contest; (b) release and hold harmless each of the Contest Entities and their respective agents, employees, officers, directors, successors and assigns, against any and all claims, injury or damage arising out of or relating to participation in this Contest and/or the use or misuse or redemption of a prize, and for any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property related cause of action; and (c) acknowledge compliance with these Official Rules. MTVN reserves the right, in its sole discretion, to disqualify any entrant who is under a third party agreement which MTVN deems to be as contradictory to the amateur nature of this Contest and in violation of these Official Rules.
6. To Enter: To enter the Contest, entrants must become registered users of vMTV and following the instructions below:
(a) How to register and create a Video:
(i) Visit vMTV's website located at www.vmtv.com and follow the instructions to become a registered user of vMTV,
(ii) Form a Group of three (3) to eight (8) entrants, each of which must have avatars in vMTV,
(iii) Use the machinima tool ("Machinima Tool"), the tool for creating the Video, available to registered users of vMTV to create the Video (instructions on how to use the Machinima Tool will be provided),
(iv) Create a video showing the avatars performing a dance routine that the Group creates,
(v) Use one (1) of the five (5) specific songs provided by MTVN, which must be used in its entirety, without any modifications thereto, solely for use in connection with this Contest, available at http://content.vmtv.com/dancecrew/danceoff2.html (the "Permitted Music") (all materials provided by MTVN, including, without limitation, the Permitted Music and the Machinima Tool for use in the Videos, the "MTVN Materials"), and
(vi) Upload the Video to http://dance.mtv.com/competition.php?comp=7 during the Contest Period.
(b) How to set up a Group in vMTV:
(i) Go to MTV Central in vMTV
(ii) Click the "Groups" button,
(iii) Click "Create a Group" under the entertainment section,
(iv) Type in a Group name and group description,
(v) Click "Yes" on the "Would you like your Group listed?" section,
(vi) Select a category for the Group and click "Create Group",
(vii) On the next page under permissions, make sure that "Be accepted automatically" is UNCHECKED, and
(viii) Save and invite Group members.
NOTE: Entrants should only create one (1) group but may join more than one (1) group.
(c) How to accept members to the Group:
(i) Go to MTV Central ,
(ii) Click the "My Profile" button,
(iii) Under the club section, click the name of your Group,
(iv) Click "Applications", and
(v) Accept or decline applicants and click "Submit".
After entrant's Group has created a Video using the Machinima Tool, one member of the Group only should post the Video to the Virtual Dance Off 2 page of the Website http://dance.mtv.com/competition.php?comp=7 during the Contest Period. Entries submitted after the close of the Contest Period will not be judged and will not be eligible for prizes. To submit a Video, you must be a registered member of the Website. Users are encouraged to register with the Website under the same or similar Group name they chose within vMTV. There is no cost associated with registering with the Website. By registering with the Website and uploading the Video for participation in the Contest, entrant is agreeing to these Official Rules, and vMTV's Terms of Use, Privacy Policy and User Content Submission Agreement and the Website's Terms of Use, Privacy Policy and User Content Submission Agreement.
Once entrant has uploaded his/her Video to the Website, entrant MUST email vMTV at MTV_ABDC@vmtv.com and include his/her official Group name, Group url, avatar name of each Group member and the URLs to his/her uploaded Videos on the Website. Entrant must use vMTV email. Each registered member of vMTV has a vMTV email account. NOTE: Uploading a Video to the Website does not guarantee that it will be accepted. In order to be accepted, it must fully comply with these Official Rules.
7. Video Requirements: To be eligible for the Contest, entrant's video must meet the requirements below and entrant represents that his/her video meets these requirements:
(a) Video must be an animated short film set in vMTV.
(b) It must be at least sixty (60) seconds but no longer than ninety (90) seconds in total running time; and there must be choreographed dancing by the avatars throughout the duration of the song;
(c) It must not contain any music other than the Permitted Music;
(d) It must feature a Group of three (3) to eight (8) avatars;
(e) It must meet the requirements of these Official Rules;
(f) It must comply with the vMTV Terms of Use, Privacy Policy and User Content Submission Agreement;
(g) It must be your original work and must not contain the images, music, choreography, words or ideas of any other person, except for the use of the MTVN Materials as specifically set forth in these Official Rules;
(h) It must not violate or infringe any third party's rights, including, without limitation, copyright, trademark, right of publicity, right of privacy or trade secret, and must not in any way violate applicable laws and regulations;
(i) It must not contain any content or performance that is sexually explicit, offensive, illegal, pornographic or obscene;
(j) It must not contain libelous or defamatory materials or statements (including words or symbols that are widely considered offensive to individuals of a certain race, gender, ethnicity, religion, sexual orientation or socioeconomic Group);
(k) It must not include threats to any person, place, business or Group;
(l) It must not contain any commercial content that promotes any product or service or contain or reference any third party names, logos, service marks or trademarks, trade names or trade dress;
(m) It must not have been previously submitted to any other website or entered in any competition or contest; and
(n) It must not contain or depict any of the following:
All entries submitted in accordance with these Official Rules shall be collectively hereinafter referred to as the "Qualifying Entry" or "Qualifying Entries". Incomplete or inaccurate entries are void. MTVN shall have sole discretion in determining whether a Video meets these criteria. All entries that do not meet these requirements will not be eligible for the Contest. MTVN may request additional documentation to determine whether a Video complies with these Official Rules. MTVN may modify or edit any materials related to a Contest entry or request entrants to do so, so that such materials meet such guidelines.
By submitting your Video for the Contest, you (and each member of your Group) grant to MTVN and their respective affiliates, a perpetual, royalty-free license (with the right to sublicense) to exhibit, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, edit, rebroadcast, transmit, record, publicly perform, create derivative works of, distribute and synchronize in time related to visual elements, and/or any portions or excerpts thereof and/or otherwise exploit the Submitted Video (subject to the rights of MTVN in any elements included therein) in any manner, an unlimited number of times, in any and all media whether now known or hereafter devised, throughout the world, in perpetuity including, but not limited to, the right to make any and all uses thereof, or for purposes of advertising or trade without notice and without any compensation, royalty, accounting, liability or obligations of any kind to you (or any member of your Group).
In addition, by downloading any of the Permitted Music, you agree to only use such music solely for use in creating a Video for the Contest.
MTVN owns all right, title and interest in, or has the right to use, the MTVN Materials. All contents of Videos, with the exception of any incorporated MTVN Materials, must be completely original to the entrant and must not have been taken or composed in whole or in part from any other source other than entrant, including, without limitation, all graphical, video and musical elements, imagery and artwork appearing in the Videos and must be free and clear of any liens or claims with respect to the use of the Videos in the manner authorized herein, including, but not limited to, claims in connection with music synchronization rights, and the use authorized herein must not give rise to any claims or infringement, invasion of privacy or publicity or claims for any payment whatsoever including, but not limited to claims for re-use fees or residuals.
ACCEPTANCE AND POSTING OF YOUR VIDEO SUBMISSION ON THE WEBSITE DOES NOT NECESSARILY MEAN THAT YOUR VIDEO SUBMISSION IS ELIGIBLE FOR AND ENTERED IN THE CONTEST.
8. Finalist Judging Criteria: All Qualifying Entries received during the Contest Period will be posted on http://dance.mtv.com/competition.php?comp=7 for public viewing. Such Qualifying Entries will be judged by a panel of judges comprised of MTVN representatives (the "Judging Panel"). The Judging Panel will choose the top twenty (20) of the Qualifying Entries as the Finalists in their sole discretion based upon the following criteria: choreography, dancing, creativity/originality, technical execution (editing, graphics, camera, etc.) and overall impression (overall quality and entertainment value), with an emphasis on the first three criteria ("Judging Criteria"). The final determination of the Finalists and the application of the Judging Criteria shall be in the sole and absolute discretion of MTVN. MTVN reserves the right to extend the Contest Period, or to select fewer Finalists, or no Finalists if it determines, in its sole and absolute discretion, that entries received did not meet the minimum qualification standards based on the Judging Criteria specified herein. MTVN reserves the right to delay the announcement of the Finalists and/or Winners in its sole discretion. The Finalists will be identified on or about July 31, 2008 on vMTV. Each of the Finalists will be available for viewing and voting (pursuant to Section 11 below) at http://content.vmtv.com/dancecrew/danceoff2.html (the "Judging Webpage"). The final determination of the Finalists and the application of the Judging Criteria shall be in the sole and absolute discretion of the Judging Panel. To the extent permitted by law, the Contest Entities and the Judging Panel disclaim any liability from and entrants, whether or not a Winner, agree to waive any claim against Contest Entities and the Judging Panel relating to the judging or awarding process.
9. Finalist Selection/Notification: The Finalists will be selected on or about July 31, 2008. In addition, MTVN reserves the right to select an alternative Finalist in the event that any Finalist fails to comply with these Official Rules.
10. Finalist/Winner Verification: Each potential Finalist and/or Winner, including each member of their Group, must prove eligibility, including, without limitation, proof of age and residence within four (4) calendar days of being notified as a potential Finalist. In the event of non-compliance by the potential Finalist and/or Winner or any member of their Group, such potential Finalist and/or Winner shall be disqualified and all privileges otherwise due as a Finalist and/or Winner shall be terminated and an alternative potential Finalist and/or Winner may be chosen from among the remaining Qualifying Entries received in MTVN's sole discretion. Each Finalist and/or Winner and all members of their Group must sign (or, if a minor, have his/her parent or legal guardian sign) within four (4) calendar days of receipt of applicable documents from MTVN: (a) an affidavit of eligibility and release of liability whereby each of the Contest Entities and each of its officers, directors, employees, agents, members, affiliated companies and subsidiaries, is released from any and all liability, loss, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Contest or the use/misuse or acceptance of any Prize or any portion thereof, and for any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property related cause of action, to be eligible for any Prize and (b) except where prohibited by law, a promotional release granting Contest Entities the right to use their name, address (city and state), photo, likeness, avatar, avatar name, biographical information, statement and voice for advertising and publicity purposes worldwide and in all forms of media (including posting on any website), in perpetuity, without further notice or additional compensation, and (c) an assignment of rights to MTVN in and to the Video. Entry into this Contest constitutes agreement to sign such releases. Each Finalist and/or Winner and each member of their Group (or, if a minor, his/her legal guardian) must acknowledge that none of the Contest Entities will obtain or provide insurance of any kind relating to any Prize. The Finalists and the Winners and each member of their Group (or, if a minor, his/her parent or legal guardian) will be responsible for obtaining and paying for any form of insurance relating to any Prize. The Finalists and/or Winner and each member of their Group (or, if a minor, his/her parent or legal guardian) must also complete any additional legal documents provided by MTVN with respect to any Prize and return them as instructed within the time frame specified by MTVN or the Finalist and/or Winner may forfeit such Prize at MTVN's sole discretion. MTVN expressly reserves the right to delay the announcement of the Finalists or the Winners for creative or technical reasons or for any other reason MTVN deems necessary.
Each Finalist and Winner and each member of their group agrees to irrevocably assign to MTVN, and its representatives, affiliates and licensees, in whole or in part, all of Finalist's and Winner's right, title and interest in the Videos including, without limitation, all intellectual property rights therein, for use in any and all media whether now known or hereafter devised, including, without limitation, the unconditional right to exhibit, webcast, podcast, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, edit, rebroadcast, transmit, record, publicly perform, create derivative works of, distribute and synchronize in time related to visual elements, and/or otherwise exploit and exercise all other rights of ownership in the Videos, in perpetuity, anywhere in the world, including, but not limited to, the right to make any and all uses thereof, or for purposes of advertising or trade without any compensation to entrant.
11. Voting Rules For Prize Winners: Members of vMTV will be eligible to vote for their favorite Finalist on the Judging Webpage during the Voting Period. Each member of vMTV may only vote once. To vote, a user can click on the screenshot showing the particular Finalist and then vote for such Finalist directly on the Judging Webpage. The Group with the Video that receives the highest number of votes will be the first place prize winner (the "First Place Winner"). The Groups with the Videos receiving the second and third highest number of votes, respectively, will be the second place prize winner (the "Second Place Prize Winner") and the third place prize winner, respectively (the "Third Place Prize Winner"). Each of the foregoing winners shall be referred to herein as "Winner" or "Winners". In the event of a tie to determine any of the Winners, the Judging Panel, in their sole discretion, shall determine the specific Winner. Such final determination of ties shall be in the sole and absolute discretion of the Judging Panel. To the extent permitted by law, the Contest Entities and the Judging Panel disclaim any liability from and entrants, whether or not a Winner, agree to waive any claim against Contest Entities and Judges relating to the judging or awarding process. The Judging Panel reserves the right to extend the Contest Period and/or the Voting Period or not to award the Prizes (as defined below) if they determine, in their sole discretion, that entries received did not meet the qualification standards based on the judging criteria.
12. Winners Selection/Notification: All members of the Group comprising each potential Winner will be notified by MTVN via vMTV email from VMTV on or about August 16, 2008. A potential Winner will be disqualified if (a) the potential Winner does not respond within thirty (30) business days to an email notification email sent by vMTV, (b) he/she is found to be ineligible in accordance with these Official Rules, (c) he/she cannot or does not comply with these Official Rules, (d) he/she does not return the Affidavit/Release, if applicable, within the timeframe described in Section 10 above (if requested by MTVN) or (e) the Prize or prize notification is returned as undeliverable. If a Winner is disqualified, each member of their Group is disqualified, and the Judging Panel, in their sole discretion, will select an alternative Winner using the same judging criteria set forth in Section 8. MTVN reserves the right to delay the announcement of the Finalists and/or Winners in its sole discretion.
13. Prizes: All prizes will be distributed at a date and time to be announced after the end of the Contest Period at http://content.vmtv.com/dancecrew/danceoff.html ("Prize(s)"). Each member of a winning Group will receive the applicable prizes below.
First Place Prize: One (1) virtual Blackberry phone, one (1) virtual bear Slippers, one (1) virtual ABDC caddy and one (1) virtual poster of dance group ("First Place Prize").
Second Place Prize: One (1) virtual bear Slippers, one (1) virtual ABDC caddy and one (1) virtual poster of dance group ("Second Place Prize").
Third Place Prize: One (1) virtual ABDC caddy and one (1) virtual poster of dance group ("Third Place Prize").
Each of the foregoing prizes shall be referred to herein as "Prize" or "Prizes".
Additionally, each entrant submitting a Qualifying Video for the Contest will also receive up to five (5) virtual sunglasses and an ABDC virtual microphone for use in vMTV.
14. General Prize Terms: The approximate total retail value (the "ARV") of each Prize is $0.00. Any difference between the ARV and the actual value, if any, will not be rewarded. All costs and expenses not specifically listed above are solely the Finalist's responsibility. All federal, state and local taxes, and any other costs not specifically provided for in these Official Rules are solely the Finalist's responsibility. No substitution, transfer or cash equivalent of any Prize or any portion thereof permitted, except by MTVN, in which case a prize of comparable or greater value may be awarded. The Prizes are non-transferable.
15. General Terms: By submitting a Video in connection with this Contest, entrants grant to each of the Contest Entities the right, except where prohibited by law, to use entrant's name, likeness, picture, address (city and state), avatar, avatar name, voice, biographical information, Video and written and oral statements, for advertising and promotional purposes in promoting or publicizing the Contest, the entrant's Video and/or this Contest, without compensation. Entrants shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based on invasion of privacy, defamation, or right of publicity) arising out of any use, blurring, alteration, or use in composite form of entrants' name, likeness, picture, address (city and state), avatar, avatar name, voice, biographical information, Video and written and oral statements.
Noncompliance with any of these Official Rules may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY FINALISTS AND/OR WINNERS OR ANY BEHAVIOR BY ANY FINALIST AND/OR WINNER THAT WILL BRING SUCH FINALIST AND/OR WINNER OR ANY OF THE CONTEST ENTITIES INTO DISREPUTE (AS DETERMINED BY THE AFFECTED CONTEST ENTITY IN ITS SOLE DISCRETION WILL RESULT IN SUCH FINALIST'S DISQUALIFICATION AS A FINALIST AND/OR WINNER OF THE CONTEST AND ALL PRIVILEGES AS A FINALIST AND/OR THE WINNER WILL BE IMMEDIATELY TERMINATED.
Contest Entities assume no responsibility for incorrect or inaccurate entry information whether caused by any of the equipment or programming associated with or utilized in this Contest or by any human error which may occur in the processing of the entries in this Contest. Contest Entities are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or players on account of technical problems or traffic congestion on the Internet or at any web site, or any combination thereof, or any incomplete, lost, late, delayed, misdirected or garbled votes or failure to receive votes, including, without limitation, any injury or damage to entrant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest. Contest Entities are not responsible for any typographical or other error in the printing of the offer, administration of the Contest, or in the announcement of the Finalists, Prizes or Winners. If, for any reason, the Contest is not capable of running as planned, including, without limitation, changes in MTVN's on-air programming, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Contest Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest or for any reason that Contest Entities deem it necessary, MTVN reserves the right in its sole discretion to cancel, terminate, modify or suspend the Contest, and to determine the Finalists and/or Winners in its sole discretion. Should the Contest be terminated prior to the stated expiration date, notice will be posted on www.vmtv.com and the Prizes may be awarded to a winner to be selected from among all Qualifying Entries received up until and/or after (if applicable) the time of modification, cancellation or termination, or in a manner that is fair and equitable as determined by MTVN. All interpretations of these Official Rules by MTVN and decisions of MTVN are final. MTVN reserves the right in its sole discretion to disqualify any individual it suspects or finds: (i) to be acting in violation of these Official Rules; (ii) to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person; or (iii) to have provided inaccurate information on any legal documents submitted in connection with this Contest.
CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MTVN RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OVER ANY CONTROVERSIES REGARDING THE CONTEST AND THE LAWS OF THE STATE OF NEW YORK SHALL EXCLUSIVELY GOVERN THE CONTEST. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.
Entrants agree to indemnify, defend and hold harmless each of the Contest Entities and each of their respective affiliated companies, parents, sponsors, subsidiaries, officers, directors, employees, agents, members (collectively, the "Indemnified Parties") from and against any and all liabilities., claims, suits, losses, damages, expenses and costs (including, but not limited to reasonable attorneys' fees) resulting or arising from the Contest, and from any breach or violation of any representation, warranty, obligation or covenant made by each entrant herein, and each entrant agrees to release all rights to bring any claim, action or proceeding against the Indemnified Parties, and hereby acknowledge that the Indemnified Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prizes.
Past experience has confirmed that contests and other competitions generate substantially similar submissions or entries which closely resemble concepts and ideas that have been independently developed by any one or more of the Contest Entities before or after the Contest. Accordingly, entrants may subsequently see a presentation by any one or more of the Contest Entities which seemingly incorporates an idea or concept or includes materials similar to that contained in their entries. Any similarity is purely coincidental and unavoidable in light of the volume of ideas which the Contest Entities routinely consider in the course of their business. Because of this possibility, entrants hereby agree to submit their entries under the following terms and conditions: (a) that each of the Contest Entities may use any ideas, concepts, material, in whole or in part, contained in an entry, (b) that all physical materials submitted become the property of MTVN and will not be returned; (c) that all materials submitted are free from any lien or claim by anyone, including, but not limited to any union, guild or performance rights society; (d) entrants have obtained all rights, permissions and licenses necessary for each of the Contest Entities to use the Videos for any purpose; (e) that no Video or any part thereof infringes any trademark or copyright or otherwise violates anyone's right of privacy or publicity; and (f) entrants indemnify and hold harmless each of the Contest Entities and their respective parent companies, officers, directors, employees, and agents from any claims, suits, losses damages and expenses (including reasonable attorneys' fees) that arise from any breach of the following conditions.
In case of a dispute over the identity of the entrant who submitted the winning Qualifying Entry, the authorized account holder of the email address associated with that Qualifying Entry will be deemed the entrant. The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Said entrant must comply with these Official Rules and, at the Contest Entities sole discretion, may be required to provide proof or ownership of the email account.
