
vMTV Pimp My Ride Show Off Contest OFFICIAL CONTEST RULES
NO PURCHASE NECESSARY.
1. Eligibility: The vMTV Pimp My Ride Show Off Contest (the "Contest") is open only to legal residents of the forty-eight (48) contiguous United States and the District of Columbia who are at least eighteen (18) years old (or age of majority in their states of residence: AL - 19, MS - 21, NE - 19) at the time of entry. Employees of MTV Networks, a division of Viacom International Inc., ePrize, LLC, all advertising and promotional agencies which are involved in any aspect of the creation, production, operation, execution and fulfillment of the Contest and their respective parent companies, subsidiaries, affiliates, sales representatives, distributors, manufacturers, licensees or agents, advertising and promotion agencies, and their immediate family members and those living in the same household of each, are not eligible to participate in this Contest. All applicable federal, state and local laws and regulations apply. Void in Alaska and Hawaii and where prohibited by law.
2. Sponsor: MTV Networks, a division of Viacom International Inc., 1515 Broadway, Suite 2951A, New York, New York 10036. Administrator: ePrize, LLC, One ePrize Drive, Pleasant Ridge, MI 48069.
3. Agreement to Official Rules: By participating in this Contest, you fully and unconditionally agree to and accept these Official Contest Rules and the decisions of the Sponsor and/or Administrator, which are final and binding in all matters related to the Contest. Whether you receive a prize is contingent upon fulfilling all requirements set forth herein.
4. Timing: The Contest begins on April 12, 2007 at 12:00 a.m. Eastern Time ("ET") and ends on May 24, 2007 at 11:59 p.m. ET (the "Contest Period"). The Contest Period consists of nine (9) phases as set forth in the chart below. Subject to Section 11, Sponsor's computer is the official time-keeping device for this Contest.

5. How To Enter: During each Submission Phase, visit vmtv and follow the links and instructions to log into (for existing users) or to register and download the vMTV application to create (for new users) your vMTV virtual avatar. Creating your virtual avatar and downloading the vMTV application is free. Once logged into the application, perform a series of tasks to earn "MTV bucks" (Sponsor, in its sole discretion, may change tasks required to earn MTV bucks at any time during the Contest). To learn more about how to earn MTV bucks, visit MTV$.
Use your MTV bucks to purchase a virtual car in vMTV (Sponsor, in its sole discretion, may change availability, types and virtual costs of virtual cars available). You can use your MTV bucks to purchase select options/upgrades (Sponsor, in its sole discretion, may change availability, types and virtual costs of virtual options) for your virtual car from the GAS garage in vMTV. Customize your virtual car by applying to your virtual car from your closet (closet is located in your menu bar on vMTV) the options you purchase inside the GAS garage.
Click the "camera icon" on the bottom of the screen to take a screenshot (the "Screenshot") of your customized virtual car. A JPEG will automatically save to a specified location.
After taking your Screenshot, visit MTV Central and follow the links and instructions to complete the registration and submit your entry. Complete the registration, including your first and last name and your email address. After completing the registration, submit a Screenshot of your pimped out ride. Upon completing the registration and submitting your Screenshot, you will be deemed to have made one (1) entry (the "Entry") into the Contest. Entries from each Submission Phase do not carry over into subsequent Submission Phases. Only Entries submitted via the online URL's referred to above will be accepted. All Screenshots must comply with each of the requirements set forth below. Screenshots that Sponsor, in its sole discretion, considers not to comply with these requirements will be void and the Entry will be disqualified.
Screenshot Requirements:
• The Screenshot must not contain material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;
• The Screenshot must not contain obvious brand names or trademarks;
• The Screenshot must not contain photos or artwork not created by entrant;
• The Screenshot must not contain material that is hateful, tortuous, defamatory, slanderous or libelous;
• The Screenshot must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; and
• The Screenshot must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any state where the Screenshot is created.
Limit: You may submit only one (1) Entry during each Submission Phase. Proof of submitting an Entry is not proof of receipt by Sponsor. All submitted Entries become the exclusive property of Sponsor, and none will be acknowledged or returned. Sponsor shall have the right to edit, adapt, and publish any or all of the Entries submitted, and may use them in any media with or without attribution or compensation to the entrant, his or her successors or assigns, or any other entity unless prohibited by law. SUBMISSION OF AN ENTRY IN THIS CONTEST CONSTITUTES ENTRANT'S IRREVOCABLE ASSIGNMENT, CONVEYANCE, AND TRANSFERENCE TO SPONSOR OF ALL RIGHT, TITLE, AND INTEREST IN THE ENTRY, INCLUDING, WITHOUT LIMITATION, ALL COPYRIGHTS AND OTHER INTELLECTUAL PROPERTY RIGHTS.
6. Winner Selection:
Preliminary Judging Phases: During each Preliminary Judging Phase, the Judges (as defined below), whose decisions as to this Contest and the selection of potential preliminary semi-finalists are final and binding in all matters, will select from all eligible and compliant Entries twenty (20) semi-finalists (the "Preliminary Semi-Finalists"). The Judges will make this decision based upon the following criteria: 30% originality, 30% quality and 40% fit with Contest theme (the "Judging Criteria"). In the event of a tie between two (2) or more Entries, the Entry the Judges determine to be the most original (in their sole discretion) will be the applicable Preliminary Semi-Finalist.
Voting Phases: During each Voting Phase, Preliminary Semi-Finalist Entries will be posted on an online gallery at http://content.vmtv.com/mtv_central/ for voting by all vMTV registered users. Members of vMTV will be invited to vote for the entrant with the Entry they believe best fits with the Contest theme. Voters can vote as many times as they desire. The ten (10) entrants whose Entry receive the most votes at the end of the applicable Voting Phase will be the semi-finalists (the "Semi-Finalists") from such Voting Phase. In the event of a tie between two (2) or more Entries, the Entry the Judges determined to be the most original during the First Judging Phase will be the applicable Semi-Finalist.
Judging Phases: During the Judging Phases, the Semi-Finalists from each Voting Phase will be required to attend a virtual event in vMTV using their virtual avatars (the "Event") to show off their virtual pimped out rides featured in their Entries. On or around the first day of the applicable Judging Phase, Semi-Finalists will be notified via email of their Semi-Finalist status and of the time and place of the Event. Semi-Finalists must attend the Event and show off their virtual pimped out rides in order to have their Entry judged during the applicable Judging Phase. If a Semi-Finalist fails to attend the Event, his/her Entry will be deemed void and he/she will be disqualified from the Contest. During the virtual event, the Judges, whose decisions as to this Contest and the selection of potential finalists are final and binding in all matters, will select from all participating Semi-Finalists three (3) finalists (the "Finalists"). The Judges will make this decision based upon an application of the Judging Criteria. In the event of a tie between two (2) or more Entries, the Entry the Judges determine to be the most original will be the applicable Finalist.
Final Judging Phase: During the Final Judging Phase, the Finalists from each Judging Phase will be required to attend a virtual event in vMTV using their virtual avatars (the "Final Event") to show off their virtual pimped out rides featured in their Entries. On or around the first day of the Final Judging Phase, Finalists will be notified via email of their Finalist status and of the time and place of the Final Event. Finalists must attend the virtual event and show off their virtual pimped out rides in order to have their Entry judged during the Final Judging Phase. If a Finalist fails to attend the Final Event, his/her Entry will be deemed void and he/she will be disqualified from the Contest. The Judges will select from all Finalists the potential Contest winner (the "Winner"). The Judges will make this decision based upon an application of the Judging Criteria. In the event of a tie between two (2) or more Entries, the Entry the Judges determine to be the most original will the applicable potential Winner.
Judges: During each Preliminary Judging Phase, Judging Phase and Final Judging Phase, the judging of the Entries will be made by judges to be selected by Sponsor in its sole discretion (the "Judges"). Prior to each such phase of the Contest, Sponsor shall identify [on vMTV] the number and identity of the Judges for such particular phase of the Contest, which shall be chosen by Sponsor in its sole discretion and may be subject to change from time to time in the sole discretion of Sponsor. The decisions of the Judges throughout this Contest are final and binding.
Disqualification of a Preliminary Semi-Finalist, Semi-Finalist or Finalist: At any time after a particular Judging Phase, a Preliminary Semi-Finalist, Semi-Finalist or a Finalist (or parent/legal guardian if a minor in his/her state or county of residence) may be required to prove eligibility, including, without limitation, proof of age and residence. If the Preliminary Semi-Finalist, Semi-Finalist or Finalist (as applicable) is determined by Sponsor and Administrator not to be an eligible entrant, such entrant shall be disqualified from the Contest and any and all privileges otherwise due as a Preliminary Semi-Finalist, Semi-Finalist or Finalist (as applicable) to continue in the Contest shall be terminated. In such event, the Judges will select an alternate Preliminary Semi-Finalist, Semi-Finalist or Finalist (as applicable) from all participants in such applicable Judging Phase based upon an application of the Judging Criteria, in the Judges sole discretion.
7. Requirements of the Winner: Administrator will notify the potential Winner via email, mail or phone on or around May 28, 2007. The potential Winner will be required to prove eligibility, including, without limitation, proof of age and residence, and sign and return to Administrator an Affidavit of Eligibility, Liability & Publicity Release, where permitted, within ten (10) days of being notified. If the potential Winner cannot be contacted, is no longer an eligible entrant, or fails to sign and return the Affidavit of Eligibility, Liability & Publicity Release within the required time period, or if notification or the Grand Prize (as defined in Section 8 below) is returned as un-deliverable, he/she shall be disqualified from the Contest and any and all privileges otherwise due as a Winner, including rights in the Grand Prize, shall be terminated. If a potential Winner is disqualified for these and/or any other reasons, the Judges will select an alternate potential Winner from all Finalists based upon an application of the Judging Criteria. This process will be repeated up to three (3) times until a Winner can be confirmed. If after these three (3) attempts to confirm an alternate potential Winner, a Winner cannot be confirmed, then the Grand Prize will remain un-awarded. Potential Winners must continue to comply with all terms and conditions of these Official Contest Rules; and winning the Grand Prize is contingent upon fulfilling all requirements. The Grand Prize will be fulfilled within four (4) to six (6) months after receipt of Winner's Affidavit of Eligibility, Liability & Publicity Release and all other information that Sponsor and/or Administrator may request.
8. Prize: One (1) Grand Prize: A customized 2007 Ford Mustang (the "Grand Prize"). Approximate Retail Value ("ARV"): $50,000. Sponsor and/or Administrator will determine all features of the automobile included in the Grand Prize including, but not limited to, color of exterior and interior and type and extent of customizations. All other features or upgrades will be allowed only if permitted by delivery dealer and paid for by Winner. DUE TO POTENTIAL UPGRADES AND CUSTOMIZATIONS THAT MAY BE PERFORMED BY SPONSOR AND/OR ADMINISTRATOR IN THEIR SOLE DISCRETION, THIS PRIZE CAR MAY NOT HAVE A MANUFACTURER'S WARRANTY. In addition, neither Sponsor nor Administrator makes any warranty, representation or guarantee, whether expressed or implied, regarding the fitness of the prize car for any particular use and/or the safety of the car. BY ACCEPTING THE GRAND PRIZE AUTOMOBILE, WINNER ACCEPTS AUTOMOBILE AS-IS AND WITH ALL FAULTS. Winner must be a U.S. licensed driver and will be required to provide proof of legally-required insurance at time of delivery. Winner is responsible for title, license, registration, dealer preparation costs, auto insurance and other fees associated with the Grand Prize. Winner must take delivery of the Grand Prize from the automobile dealership designated by Administrator. Sponsor shall not be responsible for delays in delivery of the Grand Prize, and delivery date is subject to availability. Administrator, however, shall use all reasonable efforts, subject to availability, to deliver the Grand Prize vehicle within four (4) to six (6) months after receipt of the Winner's Affidavit of Eligibility, Liability & Publicity Release and other requested information. The Winner shall bear all risk of loss or damage to the Grand Prize vehicle after it has been delivered to the specified delivery site. The Winner must personally retrieve the Grand Prize vehicle within thirty (30) days of written notification of delivery and must present adequate personal identification and evidence of legally-required insurance (or an alternative Winner shall be selected and the original Winner's rights to the Grand Prize vehicle shall be automatically forfeited). The Grand Prize is non-transferable and no substitution for the Grand Prize will be made except as provided herein at the Sponsor's sole discretion. Sponsor reserves the right to substitute the Grand Prize for one of equal or greater value if the Grand Prize becomes unavailable. Winner is responsible for all taxes and fees associated with prize receipt and/or use. The ARV is subject to the extent of customizations that Sponsor and/or Administrator, in their/its sole discretion, select. Any difference between the actual value and the ARV Grand Prize will not be awarded to Winner.
9. Publicity: Except where prohibited, participation in the Contest constitutes each entrant's consent to Sponsor's and its agents' use of Winner's name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.
10. General Rules: Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. In addition, Sponsor reserves the right to modify and amend these Official Contest Rules as they appear online from time to time during the Contest for clarification purposes without materially affecting the terms and conditions of the Contest. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the operation of the Contest or to be acting in violation of these Official Contest Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Contest Rules shall not constitute a waiver of that provision.
11. Limitations of liability: Participants, by participating in this Contest, hereby waive and release, and agree to hold harmless the Sponsor, Administrator, the Judges, all promotions and advertising agencies which are involved in any aspect of the creation, production, operation, execution and fulfillment of the Contest, and their respective parents, subsidiaries, affiliates, distributors, advertising and promotions agencies and all of their respective officers, directors, employees, representatives and agents, from and against, any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death and property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of the Grand Prize in the Contest, or their participation in the Contest, or their participation in any Contest or prize related activity (including, without limitation, access and use of Virtual MTV and any technical failures or any other factors beyond Sponsor's control which impairs the integrity or proper functioning of the Contest), or any travel related to the Contest or any travel for any prize related activity. Winner also further acknowledges that Sponsor, their affiliates, subsidiaries, employees, officers, directors, and promotions and advertising agencies have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied, in fact or in law relative to the Grand Prize or these Official Contest Rules including but not limited to quality, condition or fitness for a particular purpose.
12. Disputes: Except where prohibited, participants (and participant's parent/legal guardian if participant is a minor) agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Contest shall be resolved individually, without resort to any form of class action, and exclusively by an action in the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Contest but in no event attorneys' fees; and (c) under no circumstances will participant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Contest Rules, or the rights and obligations of participant and Sponsor in connection with this Contest, shall be governed by, and construed solely in accordance with the laws of the State of Michigan without regard for conflicts of law doctrine of any jurisdiction.
13. Personal Information: Information collected from entrants is subject to Sponsor's Privacy Policy (the "Privacy Policy").
14. Terms of Use: All activity at the URLs identified in Section 5 and in vMTV is governed by (see) Sponsor's Terms of Use , the Privacy Policy and these Official Contest Rules, and by participating in this Contest, all participants agree to the terms of the foregoing.
15. Rules / Winners List Requests: For a copy of these Official Rules, send a self-addressed stamped envelope to: "vMTV Pimp My Ride Show Off Contest Official Rules Request," c/o ePrize, LLC, P.O. Box 8070, Royal Oak, MI 48068-8070. Requests for winner lists must be received by August 25, 2007. Vermont residents may omit return postage if requesting a set of the Official Contest Rules.
